Are electronic signatures legally binding for a small business?

Generally, yes. For transactions in or affecting interstate or foreign commerce, federal law (E-SIGN) says a signature or contract may not be denied legal effect, validity or enforceability solely because it is electronic, and Florida's law has a similar rule. Neither makes a business sign electronically, and both leave out some documents, such as wills. This is a plain summary, not legal advice. Get a clear yes to sign electronically, keep the signed copy and a record of who signed and when.

What the federal law says

E-SIGN (Public Law 106-229) says that, for a transaction in or affecting interstate or foreign commerce, a signature, contract or other record may not be denied legal effect, validity or enforceability "solely because it is in electronic form" (section 101(a)).

Section 101(b) says the law does not require any person to agree to use or accept electronic records or signatures, other than a government agency for a record other than a contract it is a party to.

What Florida's law says

Florida's Uniform Electronic Transaction Act, section 668.50(7), says a record or signature may not be denied legal effect or enforceability solely because it is electronic.

Under subsection (5), the section applies only to transactions between parties that have each agreed to conduct transactions electronically, judged from the context and surrounding circumstances, including the parties' conduct.

What the laws generally leave out

Under E-SIGN section 103, the general rule does not apply to a contract or record to the extent it is governed by laws on wills, codicils or testamentary trusts; adoption, divorce or other family-law matters; or the Uniform Commercial Code, other than sections 1-107 and 1-206 and Articles 2 and 2A. Its list of further exceptions includes:

Florida's list in section 668.50(3) is different: wills, codicils and testamentary trusts; the Uniform Commercial Code other than s. 671.107 and chapters 672 and 680; the Uniform Computer Information Transactions Act; and, apart from three subsections, rules of judicial procedure.

  • court orders, notices and official court documents required in court proceedings;
  • utility cancellation or termination notices;
  • notices of default, acceleration, repossession, foreclosure, eviction or the right to cure tied to a person's primary residence;
  • notices ending health insurance or benefits, or life insurance benefits;
  • recall or material-failure notices about products that risk health or safety;
  • documents that must accompany the transport or handling of hazardous materials, pesticides or other toxic or dangerous materials.

What an owner can do

The steps below are general advice, except where a law is named.

  • Get a clear yes to sign electronically, in the email or on the signing page; Florida's section turns on that agreement.
  • Keep the signed copy. E-SIGN section 101(d) says that where a law requires a record to be retained, an electronic record can meet that if it accurately reflects the information and remains accessible to everyone entitled to it, for the period required, in a form that can be accurately reproduced for later reference.
  • Keep a record of who signed and when, and give the signer a copy.

Limits of this summary

If a law requires you to give consumers information in writing and you want to give it electronically, E-SIGN section 101(c) adds consumer-consent steps first. For that, and for anything unusual or high stakes, ask an attorney. The related answers on website design and marketing agency contracts cover what those agreements contain.
